1. About these terms
These terms are an agreement between SponsorStack Ltd (company number SC883405, registered in Scotland) ("HypeStax", "we", "us") and the business that creates a HypeStax workspace ("you"). HypeStax is a SponsorStack software product. By creating an account you confirm you're authorised to accept these terms on behalf of your business.
HypeStax is for business use only. It is not offered to consumers, and consumer protection rules that apply only to consumers don't apply to this agreement.
2. The service
HypeStax provides AI-assisted marketing tools: a Business Brain built from your website and answers, drafted social posts and other content, an approval workflow, publishing to accounts you connect, and (with the Outreach add-on) lead research and email outreach. We may improve and change features over time. If we remove something important you pay for, we'll tell you in advance.
3. Accounts and users
- Keep login details secure, and tell us promptly about any unauthorised use.
- You're responsible for the people you invite to your workspace and the roles you give them.
- Information you give us must be accurate and kept up to date.
4. Free trial, plans and payment
- New workspaces get a 14-day free trial. No card is needed. At the end of the trial, the workspace becomes read-only until you choose a plan.
- Plans are billed monthly (or annually where offered) in advance, in pounds sterling. SponsorStack Ltd is not currently VAT-registered; if that changes, VAT will be added where applicable.
- Each plan includes usage limits (for example, posts, requests, users, storage and outreach volumes), shown on our pricing page and in your account.
- We may change prices for future billing periods with at least 30 days' notice. Founding-member and other agreed discounts apply for the period stated when they were offered.
- If a payment fails, we may suspend paid features after giving you notice and a reasonable chance to pay.
5. Your content and AI output
- You keep ownership of everything you upload and of the content HypeStax drafts for you, to the extent the law allows. You give us a licence to host and process it only to provide the service.
- You review and approve everything before it's published or sent. AI output can be inaccurate, incomplete or similar to material created by others. You're responsible for checking that what you publish is accurate, lawful and appropriate, and for any claims it makes.
- You must have the rights to anything you upload (such as images and logos) and to any personal data you provide.
- Where a platform requires it, you're responsible for labelling AI-generated images or content.
6. Outreach and marketing law
If you use the Outreach add-on, you're the sender of the emails and responsible for complying with UK GDPR, the Privacy and Electronic Communications Regulations (PECR) and other marketing laws. HypeStax helps by limiting sending volumes, including an opt-out in every email, stopping follow-ups on reply or opt-out, and keeping a suppression list. You must not use Outreach to contact individual consumers without consent, or for unlawful, misleading or spam campaigns.
7. Connected platforms
When you connect accounts such as Facebook, Instagram, LinkedIn, TikTok, Google Business Profile, X or your email, you authorise us to act on your instructions through those accounts. Your use of those platforms is also governed by their own terms. We're not responsible for changes, outages or restrictions made by third-party platforms. You can disconnect an account at any time.
8. Acceptable use
You must not use HypeStax to:
- break the law, infringe others' rights, or publish defamatory, hateful, harassing or misleading content;
- send spam, or contact people who have asked not to be contacted;
- try to access other workspaces, overload or reverse-engineer the service, or get around usage limits;
- resell or provide the service to third parties without our written agreement.
We may suspend accounts that seriously or repeatedly break these rules, and will explain why where we can.
9. Data protection
Our Privacy policy explains how we handle personal data as a controller. Where we process personal data on your behalf (for example, content and outreach leads), we do so as your processor and we will: act only on your documented instructions; keep the data confidential and secure; use only the sub-processors listed in our privacy policy (and tell you before adding new ones); help you respond to data subject requests and personal data breaches; delete or return the data when the service ends; and give you the information needed to show compliance.
10. Availability and support
We aim to keep HypeStax available and reliable, but we don't guarantee uninterrupted service. We may carry out maintenance and will try to do so at quiet times. Support is by email at hello@hypestax.co.uk.
11. Our intellectual property
HypeStax, including its software, design and brand, belongs to SponsorStack Ltd. We give you a non-exclusive right to use it for your business during your subscription. Feedback you give us may be used to improve the service.
12. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that can't be limited by law.
- We're not liable for loss of profits, revenue, business, goodwill or data, or for indirect or consequential loss.
- We're not responsible for content you approve and publish, or for the actions of third-party platforms.
- Our total liability in any 12-month period is limited to the fees you paid us in that period.
13. Cancelling and ending the agreement
- You can cancel at any time. Your plan stays active until the end of the current billing period, and fees already paid are not refunded except where required by law.
- We may end the agreement with 30 days' notice, or immediately if you seriously breach these terms.
- After it ends, you can export your content for 30 days, after which we delete your workspace data as described in our privacy policy.
14. Changes to these terms
We may update these terms. We'll give account owners at least 30 days' notice of material changes by email.
15. General
These terms are the whole agreement between us about HypeStax. If any part is found unenforceable, the rest still applies. These terms are governed by the law of Scotland, and the Scottish courts have exclusive jurisdiction.
